Harris & Bowker LLP serves as outside counsel to business clients, providing advice on many types of business matters. We have extensive experience working with limited liability companies, family businesses, closely-held corporations and emerging business.

In our capacity as general counsel to our business clients, we advise them regarding all aspects of entity and business formation, relations between owners, agreements with key employees, day-to-day business operations and relationships with lessors, customers, suppliers and distributors. Often family businesses are sold rather than passed on to succeeding generations or employees. Our firm is active in representing both sellers and buyers of family businesses.

Services we provide our clients:
  • Develop and organize companies, including the formation of limited liability companies, corporations, partnerships and subsidiaries
  • Advise about shareholder rights and remedies
  • Negotiate various contracts, including buy-sell agreements and similar arrangements
  • Structure, negotiate and document business acquisitions and mergers
  • Structure, negotiate and document business transactions, including loans and leases
  • Structure and document employee benefit programs, such as qualified and non-qualified employee benefit plans, phantom stock plans, management incentive programs, stock option plans, profit sharing and other incentive programs
  • Maintain company records and act as Registered Agent

We maintain pro-active involvement with clients to assist them in the most tax-effective method of operation. This includes tax planning and periodic review to ensure legal and tax effectiveness and compliance.
  • A crucial part of this function is making sure corporate and LLC documents comport with how the business is operating.
  • Each corporation we represent receives an annual questionnaire well before the scheduled annual meetings of shareholders and directors. Based on our client's responses, we then prepare annual minutes and other corporate documents as needed.
  • We assist in the design and implementation of qualified and non-qualified retirement plans, as well as management compensation and employee incentive plans.
Here are some common issues you should consider when consulting with an attorney in regards to your business:
  • What type of business entity suits your needs (corporation, LLC, etc.)?
  • How many owners?
  • Will you need to document relationships among owners?
  • Will there be employees?
  • Will you want to restrict the transferability of ownership interests among owners?
  • Will you want to provide incentive retirement programs or plans for employees?
  • Will you need contracts or standard forms with contractors, customers, vendors or suppliers?
